THIS TERMS OF SERVICE AGREEMENT ("Agreement", "Terms") is a legally binding contract between HereNow AI Labs Private Limited, a company incorporated under the Companies Act 2013, having Corporate Identification Number (CIN) U62099DL2024PTC435645 and its registered office at A23/16V PH3, MANGAL APT. V. ENCLAVE, East Delhi, New Delhi‑110096, India ("Company", "Amora "AI, "we", "our", "us") and the person who accesses, browses or otherwise uses the Services (defined below) ("you", "your", "User")
By accessing or using any part of the Services, you acknowledge that you have read, understood and agree to be bound by these Terms and our Privacy Policy.
You must (i) be at least 18 years old and (ii) have the power to enter into a contract under Indian Contract Act 1872. If you are accepting on behalf of a company, you represent that you have authority to bind that entity.
You agree to (a) provide accurate information, (b) keep credentials confidential, and (c) promptly update any changes. You are responsible for all activities that occur under your Account. Notify us immediately of unauthorised use.
Subject to your compliance, we grant you a limited, non‑exclusive, non‑transferable, revocable licence to access and use the Services for their intended purpose. You shall not:
Restaurant Users shall (i) upload accurate menu and pricing data, (ii) honour orders placed through the Platform, (iii) comply with all food safety and consumer protection laws, and (iv) obtain all licences required for their operations.
Service Fees are payable in Indian Rupees (INR). Invoices are due within 15 days unless otherwise stated. Late payments attract interest at 1.5 % per month. All payments are non‑refundable except as expressly provided.
You retain ownership of Content you submit but grant the Company a worldwide, royalty‑free, sub-licensable licence to host, use, reproduce, display, adapt and distribute such Content for the purpose of delivering and marketing the Services. You warrant that you have all necessary rights to grant this licence.
You agree not to:
All right, title and interest in the Platform and Services, including all software, content, templates and documentation, are and shall remain the exclusive property of the Company and its licensors. Except for the limited licence granted, no rights are conveyed.
Each party ("Receiving Party") shall maintain the confidentiality of all proprietary information disclosed by the other ("Disclosing Party") and use it solely for performance under these Terms. This obligation survives termination for 3 years.
Our collection and use of Personal Data is governed by the Privacy Policy, which is incorporated by reference.
We endeavour to keep the Services available 24 × 7 but do not guarantee uninterrupted uptime. We may modify or discontinue any feature upon reasonable prior notice where practicable.
The Services are provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy or non‑infringement. We do not warrant that the Services will be error‑free or that defects will be corrected.
To the fullest extent permitted by law, the aggregate liability of the Company and its affiliates, whether in contract, tort (including negligence) or otherwise, shall not exceed the total Service Fees paid by you in the 6 months preceding the event giving rise to the claim. We shall not be liable for any indirect, consequential, punitive or special damages, including loss of profits, data or goodwill.
You agree to indemnify and hold harmless the Company, its directors, employees and agents from and against all claims, liabilities, damages and expenses (including reasonable legal fees) arising out of (i) your breach of these Terms, (ii) your use of the Services, or (iii) your violation of any law or third‑party right.
These Terms commence on the date you first use the Services and continue until terminated. We may suspend or terminate your access with immediate effect if you breach these Terms or Applicable Law. Upon termination, (a) your licence ends, (b) outstanding fees become due, and (c) Sections 8, 10, 11, 14‑18 survive.
These Terms shall be governed by the laws of India. Any dispute shall first be attempted to be resolved amicably within 30 days. Failing settlement, the dispute shall be finally resolved by arbitration in accordance with the Arbitration and Conciliation Act 1996. The tribunal shall consist of a sole arbitrator appointed by mutual agreement, seated in New Delhi. The language of arbitration shall be English. Courts at New Delhi shall have exclusive jurisdiction for interim relief and enforcement.
Neither party shall be liable for failure to perform due to causes beyond its reasonable control, including acts of God, epidemic, war, governmental orders, or network outages.
